General sales, delivery and payment conditions of ASEL AG

1. Scope

These sales, delivery and payment conditions apply to all deliveries and services provided by ASEL AG, excluding the client's general terms and conditions.

2. Prices

(1) The prices are calculated in Swiss francs and generally refer to the value of the goods without packaging; They apply ex works and are always subject to change. VAT is charged additionally.

(2) An increase in material prices and wages or costs for external work and parts as well as subsequent taxes not taken into account in the price entitle us to a proportionate price increase.

(3) When ordering individual items, especially those with special dimensions or special designs, we reserve the right to charge surcharges for small quantities. Our prices are not valid for repeat orders.

(4) If we grant discounts on quotations in our catalogs, there is no legal claim to their grant or amount. This also applies to special or quantity discounts or special prices that have been granted once. We reserve the right to change our prices and discounts at any time depending on the cost situation

3. Payment Terms

Minimum order is Fr. 20.- value of goods plus postage and packaging. Invoice amounts over CHF 20 net are payable within 10 days with a 2% discount or within 30 days without deducting a discount. If ASEL AG issues a reminder, the client bears the reminder costs. In the event of late payment, ASEL AG is entitled to block delivery or to deliver goods only against advance payment. For larger order volumes, ASEL AG is entitled to demand an advance payment of 50% from the client. The remaining 50% is due upon delivery and a 3% discount is granted for this invoice amount. Instead of the advance payment, the client can provide a direct guarantee from his house bank, with which the guarantor undertakes to pay on first request, waiving the objection of advance action, set-off and contestation.

4. Discounts

For larger order quantities, order-related net prices can be agreed. Discounts are only granted according to contractual agreement.

5. Delivery time

All items offered in the standard delivery program are usually delivered from the Reinach warehouse within 72 hours, provided the order is received by ASEL AG by 12:00 p.m. For items that are not part of the standard delivery program, delivery times must be agreed in writing with ASEL AG. ASEL AG is entitled to make partial deliveries, which may be invoiced separately.

6. Contracts/Orders

For smaller orders, the contract is concluded tacitly upon receipt of the order by ASEL AG. Larger orders are generally confirmed in writing by ASEL AG. ASEL AG grants the client the right to withdraw from the contract by means of a written declaration within 24 hours of receipt of the order confirmation. Withdrawal from the contract after this period has expired is only permitted upon payment of the following compensation: up to 1 week 20%, up to 2 weeks 40%, up to 3 weeks 60% of the net order value.

7. Shipping, transfer of risk, place of performance

The goods are shipped via DHL, post or another transport company always at the expense and risk of the client. The risk is transferred to the client when the goods are handed over to the post office or the transport company. In the case of self-collection, the risk transfer occurs when the goods are received by the client or his authorized representative. The place of performance is the headquarters of ASEL AG.

8. Warranty

The client must report incorrect deliveries, obvious defects or differences in quantities in writing within three days of receipt of the goods. The client must report hidden defects in writing immediately after they are discovered. The warranty period is six months if the goods are used commercially; it is one year if the goods are used by a consumer. The client is entitled to subsequent performance (removal of defects or replacement delivery of defect-free goods if the defect was already present at the time of transfer of risk. The warranty does not extend to defects that are the result of normal wear and tear, defective installation or assembly work, incorrect commissioning or operation, negligent treatment or maintenance, improper use or due to changes to the goods. If defect-free goods are delivered as a replacement, the client must return the defective goods to ASEL AG. Subsequent performance does not trigger a new start to the warranty. Due to defects, the client may only withdraw from the contract or demand a reduction if ASEL AG has not fulfilled its obligation of supplementary performance and a reasonable deadline set in writing by the client has expired without success. Claims for defects are void if the client does not give ASEL AG the opportunity and sufficient time to do so to convince you of the defects and provide subsequent performance. Compensation for consequential damage caused by minor negligence is excluded to the extent permitted by law.

9. Retention of Title

ASEL AG reserves ownership of the purchased item until it has been paid for in full. The client is obliged to treat the goods with care until then.

10. Jurisdiction

The client recognizes Arlesheim as the place of jurisdiction.
